Forgepoint Digital Limited provides B2B consulting and support services in digital marketing, marketing consulting, business development, AI-enabled business improvement, and management and operational support (the “Services”). Services may be provided on a consulting, project-based, or ongoing support basis.

The specific services provided to you will be governed by separate service agreements, statements of work, or other written agreements. These Terms govern your use of our website and general interactions with our Company, while specific service engagements will be governed by individual contracts that supplement these Terms. In the event of any conflict between these Terms and a separate written agreement, the separate agreement shall prevail with respect to the relevant services.

You agree to use the Site only for lawful purposes. You must not:

• use the Site in violation of any applicable law or regulation or any third-party rights;
• transmit any unsolicited or unauthorised advertising, spam, or promotional material;
• introduce or distribute viruses, malware, trojans, worms, or any other malicious code;
• attempt to gain unauthorised access to any part of the Site, its servers, or connected systems;
• cause network disruption, including Denial-of-Service (DoS) or Distributed Denial-of-Service (DDoS) attacks;

We process personal data in compliance with the General Data Protection Regulation (GDPR). Our lawful bases for processing are: (i) performance of a contract; (ii) our legitimate interests; and (iii) your consent where explicitly obtained. California Privacy Rights (CCPA/CPRA). IN ANY EVENT, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED 1000 USD.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Forgepoint Digital Limited and its affiliates, officers, directors, employees, and agents from and against any loss, damage, liability, claim, or demand — including reasonable legal fees — arising out of: (1) your use of the Site; (2) your breach of these Terms; (3) any breach of your representations and warranties; or (4) your violation of any third-party rights, including intellectual property rights.

We reserve the right, at your expense, to assume exclusive control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

These Terms remain in effect while you use the Site. You may stop using the Site at any time.

We may suspend or terminate your access at any time without notice or liability if we determine you have breached these Terms or applicable law.

Provisions that by their nature should survive termination — including intellectual property, liability, indemnification, and governing law — shall remain in effect.

We reserve the right to modify or discontinue the Site at any time without liability.

We cannot guarantee uninterrupted availability of the Site due to maintenance, technical issues, third-party failures, or force majeure events.

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict-of-law principles.

Any dispute, controversy or claim arising out of or in connection with these Terms, or the breach, termination or invalidity thereof, shall be settled by the courts of Hong Kong.

These Terms, together with the Privacy Policy and any policies expressly referenced herein, constitute the entire agreement between you and us regarding your access to and use of the Site.

If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that right.

We may assign our rights and obligations under these Terms at any time. You may not assign your rights without our prior written consent.

We shall not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, government action, pandemic, or third-party infrastructure failures.

The Site may contain links to third-party websites. We do not endorse or assume responsibility for third-party content. Your use of any linked site is at your own risk and subject to that site’s own terms.

These Terms are drafted in English. In the event of any conflict between this English version and any translation, the English version shall prevail.
